Mr. Kye Sung Yang (b. 1968), Partner at Shin & Kim, has been appointed as an Independent Director of KISCO Holdings, effective March 27, 2026, for a term of Hanbyol Law LLC. The term of office is two years, and he previously served as a partner at the law firm Shin & Kim. The appointment has been reported to the Financial Services Commission and the Korea Exchange.

The appointment follows the natural retirement of Mr. Kim Dong-ho as an independent director due to the completion of six years of service as an independent director under the Commercial Code. The total number of registered directors increased from five to six, and the number of independent directors remained at three, but the ratio decreased from 60% to 50%. As an outside director, Mr. Yang, who has been a lawyer for Hanbyol, is expected to perform legal advice and supervision functions for the BOD, including legal and compliance monitoring, corporate governance improvement, regulatory response, and strengthening internal control.
